These Terms of Service ("Terms") govern your access to and use of the Zuko AI service ("Service"), operated by Zuko AI ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Zuko AI is an AI-powered accountability and conversational assistant delivered via Apple iMessage. The Service allows users to set personal goals, receive motivational and accountability-focused messages, and engage in casual conversation with an AI persona. The Service also includes a web-based settings portal for managing user preferences.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.

Your account is identified by your phone number or iMessage address. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to provide accurate information during onboarding and to update it as needed.

The Service uses artificial intelligence to generate responses. AI-generated content is provided for informational and motivational purposes only. Zuko AI is not a licensed therapist, medical professional, financial advisor, or legal counselor. You should not rely on the Service as a substitute for professional advice. We do not guarantee the accuracy, completeness, or appropriateness of any AI-generated content.

You retain ownership of any content you submit through the Service, including messages, goals, and personal information ("User Content"). By submitting User Content, you grant us a limited, non-exclusive license to use, store, and process your User Content solely for the purpose of providing and improving the Service.

We may terminate or suspend your access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZUKO AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Zuko AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Zuko AI regarding the Service and supersede all prior agreements and understandings, whether written or oral.

17. Changes to Terms

We reserve the right to update or modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
